These Terms and Conditions include important information about your user agreement, and we encourage you to read them carefully.

 

Welcome

Welcome to NYBox! We hope you enjoy using our website/mobile app and services. This is your user agreement. These Terms explain NYBox’s obligations to you and your obligations to NYBox, and they govern your use of the NYBox.com website, mobile application, your NYBox account, and NYBox services.

By registering for a NYBox account, you are entering into this legally binding agreement with NYBox on behalf of yourself and/or the entity you represent. You acknowledge and agree that you have read and will comply with these Terms.

 

Use of NYBox Website, Mobile App, and Your NYBox Account

The Terms

In these Terms, “you,” “your,” and “member” refer to you personally (if you are an individual) or the entity you represent (if you registered on behalf of a business). “we,” “our,” and “NYBox” refer to ViaNY Inc., its related companies, and/or its third-party suppliers.

Acceptance

You agree that clicking the “Sign up” button to register for a NYBox account is valid and equivalent to signing a printed agreement between you and NYBox.

Membership Account Creation

To register to use NYBox services, you must provide NYBox with a current, valid email address, your street address, and contact phone number(s). You confirm that the information you provide is accurate and that you will update it promptly if any of it changes.

We reserve the right to cancel any unconfirmed account or any account that has been inactive for a lengthy period, or if we find you have submitted inaccurate information, or if we determine your account may be compromised or used for fraudulent purposes. You may not open more than one NYBox account.

No Transfer of Account

You may not transfer your NYBox account or your login/password to any other person.

Service Availability

You may only create a NYBox account and use NYBox services in a country listed in the pricing page selection on our website. Service availability varies by country and may change from time to time.

Security

You agree to keep your NYBox password confidential, safeguard it and your devices from access by others, and log out when your session is complete. You are responsible for any use of the NYBox website/mobile app and your NYBox account made under your login and password.

If you become aware of or suspect any unauthorized use of your account, or any known or suspected security breach (such as disclosure or loss of your password), you must notify NYBox promptly.

Your Warranties and Representations

You warrant and represent that:

  • You are at least 18 years of age or the legal age of majority in your country;
  • You have obtained all necessary permissions to enter and perform this agreement; and
  • You will use NYBox services only for lawful purposes and in accordance with these Terms.

Data Protection

To provide services, we collect certain personal information about you (including name, address, email, and telephone number). Our website also uses cookies and similar techniques to enhance and personalize your experience. Our information practices are subject to NYBox’s Privacy Policy.

Use of the Website and App

You may not use the NYBox website, mobile app, or NYBox services for any unlawful purpose. We reserve the right to terminate or restrict your access to your account and your use of NYBox services if, in our opinion, your use may violate any laws, infringe another person’s rights, or breach these Terms.

You may use NYBox services for your personal use (including friends/family members) or for use by the business entity you represent. If you intend to resell products you receive via NYBox services, you agree to comply with all laws and regulations applicable to importing products for resale and any resale restrictions required by the merchant.

 

Intellectual Property and Related Rights

Intellectual Property

NYBox websites, mobile application, user interfaces, “look and feel,” content, and all associated and underlying software, know-how, methodologies, and processes are and will remain the sole property of NYBox or its third-party suppliers and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Materials and software made available are licensed to you on a nonexclusive and limited basis.

You may not:

  • Copy, reverse engineer, decompile, or create derivative works from the NYBox website or mobile app;
  • Use meta tags or other “hidden text” incorporating NYBox’s name or trademark without prior written consent;
  • Scrape, frame, or display information from NYBox for use in another website or service without written consent; or
  • Place a hyperlink to NYBox except in the manner we specify.

Infringement

We respect the intellectual property rights of others. If you believe any material on the website or mobile app infringes your rights, please inform us by submitting an infringement complaint.

Trademarks

Use of the website or mobile app does not grant you a license to use NYBox trademarks. They may not be copied, downloaded, reproduced, used, modified, or distributed without our written permission. All other trademarks or trade names are the property of their respective owners.

Other Websites

NYBox is not responsible for the content or accuracy of information obtained from any third-party (non-NYBox) website linked to or accessed from our website.

 

Disclaimer of Warranty

Your use of the website and mobile app is at your own risk. NYBox web-based services are provided on an “as is” and “as available” basis. To the fullest extent permissible by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

The website is not warranted to be uninterrupted or error-free. NYBox is not liable for inability to access, delays, or interruptions due to telecommunications networks, internet service providers, incompatible/malfunctioning equipment, software you use, or other causes beyond NYBox’s control.

 

Limitation of Liability

In no event will NYBox be liable for any indirect, special, consequential, incidental, punitive, or exemplary damages (including loss of business, revenue, profits, goodwill, lost opportunity, business interruption, or loss of information) arising out of your use of or inability to use your NYBox account or the NYBox website, even if we have been advised of the possibility of such damages.

Except for loss of or damage to packages during international shipment, NYBox’s maximum liability and your exclusive remedy for errors in NYBox services is limited to US$100 (or equivalent) per incident. Some countries/states do not allow certain limitations, so some limitations may not apply to you.

For international shipping: Carrier liability limits apply based on the carrier’s terms and international conventions.

 

Notices

Email notices, newsletters, and/or information on the website are the primary methods we use to communicate. We send notices to the email address you provide during registration or later update. You may contact NYBox via email, Live Chat, or phone using the Contact Us page.

 

Modification of NYBox Terms and Conditions

We may update these Terms from time to time. If we make material changes, we will provide notice by email and/or by posting a prominent notice on the website. Your continued use of your NYBox account after changes take effect constitutes your acceptance of the updated Terms.

 

Purchasing Products from Merchants

Ordering Products

You place an order with an online merchant either through links on our website or directly from the merchant’s website, or by submitting a Purchase Request through our Personal Shopper service.

You will pay the merchant directly for the product and domestic shipping (if applicable) for delivery to your NYBox address. You agree to comply with any conditions and restrictions of sale specified by the merchant.

Correct Addressing

You will take reasonable measures to ensure products are correctly addressed to your NYBox address, including your name and suite number.

Purchase Transaction Between You and the Seller

NYBox enables you to shop online and have products delivered to your home country; however, NYBox does not sell products to you. You are solely responsible for selecting and ordering products, and your purchase is a transaction solely between you and the merchant.

NYBox makes no representations, warranties, or guarantees regarding product quality or suitability. In particular:

  • We have no liability for any failure of a seller to ship to your NYBox address or fulfill your order, or for defects, injury, damage, or any product failing to meet your expectations.
  • We do not handle communications with sellers regarding exchanges; that is your responsibility. Upon your request, we can arrange return delivery of items still at your NYBox address; return charges apply.
  • If after delivery you determine a product is defective or unsatisfactory, you agree to hold NYBox harmless and seek remedies solely from the seller.

 

Membership

Standard Membership is free, has no minimum service period, and can be terminated at any time. Premium Subscription membership has a minimum service period of ninety (90) days. Members may switch back to Standard membership after the minimum period has passed.

  • Monthly membership charges are non-refundable.
  • Monthly and annual memberships automatically renew unless you select the “do not renew” option in your profile.

 

Personal Shopper Service (Purchase Requests / Personal Shopper Orders)

If a merchant does not or will not accept your payment method, or you need assistance purchasing, you may use our Personal Shopper service for a nominal fee by submitting a Purchase Request. NYBox will review the request and, if you approve the pricing, place the order based on your instructions and pay on your behalf.

The following conditions apply to all Personal Shopper Orders:

  • Your instructions in the Purchase Request form must specify the exact product details (including price, quantity, color, size, merchant reference code, and any discount codes).
  • A Personal Shopper Order cannot be changed or cancelled once it has been placed with the merchant.
  • We will not place (or we may cancel) a Personal Shopper Order if:
    • you do not supply sufficient information; or
    • it includes any Prohibited Item; or
    • any item is out of stock; or
    • the total price (including local tax and domestic shipping) is higher than the amount you authorized.

Your purchase through Personal Shopper service remains a transaction solely between you and the merchant. NYBox makes no representations, warranties, or guarantees about product quality or suitability. NYBox is not responsible if the merchant fails to fulfill the order, ships the wrong product, does not apply discount codes, or otherwise fails to meet your expectations. You must contact the merchant directly regarding such discrepancies.

 

Receiving Packages at Your NYBox Address

Receiving Procedure

We will accept packages delivered to your NYBox address. We will notify you when packages are received, provide package details, and request your instructions for shipping, repacking, or storage.

We will not accept parcels delivered on a COD (Cash On Delivery) basis.

You are the only person authorized to pay for and ship the package (including shipping to friends/family). The delivery address must be in the same country as the country where you are located; you cannot ship packages to individuals in any other country. Payment must be via a card or payment method issued in the same country where you are located.

You will use your NYBox address only for package consolidation purposes and will not represent that NYBox is your residence or business address. Failure to comply may result in cancellation of your NYBox account.

You are responsible for informing the seller that merchandise sent to NYBox will ultimately be exported out of the United States. You are also responsible for ensuring the seller provides export classification information and determines whether export licenses are required. Do not ship merchandise requiring an export license (or otherwise export-controlled items) to NYBox.

Loss or Damage of Products in Transit to Our Facility

NYBox is not liable for products lost or damaged in transit from the merchant to the NYBox facility. We may refuse delivery if, upon inspection of the outside of the package, it is obvious the product is damaged or incomplete. In that case we may return the product to the sender and notify you.

Inspection of Packages

NYBox may open and inspect any package (or part thereof) for security purposes and to verify compliance with export and import laws without prior notice and without liability to you.

Prohibited Items / Hold

NYBox will place on “hold” products restricted or prohibited for export/import to the destination country. Any product deemed unsafe for international transportation may be prohibited for shipment and placed on hold. See Prohibited Items in the FAQ.

After you are notified of a hold status, upon your request we will arrange for the item to be returned to the merchant, shipped to an alternative U.S. address (as applicable), or disposed of. You have 14 days to advise disposition. If you do not respond within 14 days, the product may be destroyed.

  • Products that cannot be legally sold (e.g., illegal drugs) cannot be returned or shipped to an alternative address and may be seized by law enforcement.
  • If we cannot determine whether a product is export restricted, NYBox may submit it for review by the responsible government agency.

 

Mail Acceptance

NYBox may not accept USPS mail until we receive USPS Form 1583 authorizing us to accept mail on your behalf. USPS mail receiving is for Premium members only. NYBox is a registered commercial mail receiving agency and is subject to federal laws and regulations regarding commercial mail receiving and forwarding.

 

Storage at the NYBox Facility

Storage of Packages

We store packages free of charge for up to 30 days from the date received at your NYBox address. We will send reminders before the free storage period expires.

After 30 days, we will store packages for a maximum of 65 days total. Storage charges:

  • $0.20 per pound per day for Premium members
  • $0.50 per pound per day for Standard members
    Storage charges are payable when you request shipment.

Any package without shipping instructions by the end of 65 days will be deemed abandoned and may be disposed of as permitted by law.

  • If you decide you no longer wish to ship items stored in your suite, you may request disposal. If items can be returned to the merchant, NYBox will arrange this at your cost. Any merchant correspondence is your responsibility.

Unidentified Packages

Sometimes we receive packages that cannot be matched to a member (missing name and/or suite number). If you experience an unusual delay, contact Customer Service and describe the product you expect so we can inspect unidentified packages.

  • Goods for which an owner cannot be determined will be held for 90 days. If unclaimed after 90 days, NYBox may dispose of them as permitted under applicable law.

 

International Shipment and Delivery

Shipment of Packages

When you request packages to be shipped, NYBox will prepare your international shipment with the selected carrier to the delivery address you specified.

Appointment of NYBox as Agent

You appoint NYBox as your agent for consolidation and export purposes by receiving your merchandise, sorting, packing, and consolidating it. NYBox arranges export of your package to your specified address by an unaffiliated service provider acting as freight forwarder and/or carrier.

NYBox acts as your true and lawful agent for the following purposes:

  • Preparation of shipping documents
  • Preparation of any Certificates of Origin
  • Preparation of an EEI via AES in accordance with U.S. laws and regulations
  • Preparation of an airway bill or other export documents
  • Entering into service agreements on your behalf (with power of sub-delegation) for preparation/completion of documentation for clearance and delivery
  • Authorizing freight forwarders/carriers to conduct customs clearance and entry, and certifying them as consignee solely to designate a customs broker for customs clearance and entry

If an EEI is required for U.S.-origin goods, NYBox will file required export information on your behalf as your agent. If you fail to provide information needed to accurately file an EEI, NYBox will decline to process the merchandise for export. NYBox may review accuracy of information (including confirming ECCN or value). In such cases, you are responsible for costs related to return, tender to authorities, forfeiture, and/or destruction, and NYBox will not reimburse you for merchandise value.

You acknowledge you are solely liable for accurately providing all information required by U.S. laws and regulations (including 15 CFR § 30) and maintaining required records. Civil or criminal penalties may be imposed for false or fraudulent statements.

 

Accurate Value Declaration, Customs Duty and Tax

Accurate description and value are necessary for export/import compliance. If a value is not listed on an invoice/packing list, or no invoice is available, you must provide the true and accurate value.

You are solely responsible for the correctness of value information you provide and agree to indemnify and hold NYBox harmless for under-declaration or misrepresentations.

You acknowledge:

  • Packages may be inspected by authorities at any time.
  • Under-declared packages may be delayed and corrected by Customs, and you may have to pay additional duty, fines, or penalties.
  • Customs duties, taxes, and service charges in your country are your responsibility.

 

Shipping Charges

Shipping costs are based on weight and dimensions. Charges are based on actual weight or dimensional weight, whichever is greater.

Dimensional weight is calculated by multiplying length × width × height (in inches) and dividing by 139.

 

Delivery

NYBox will make reasonable efforts to deliver your shipment using the carrier you selected. NYBox is not liable for damages caused by carrier delay.

  • Most shipments are delivered directly. In remote areas, you may need to pick up from the carrier’s nearest service point.

 

Compliance With Law / Prohibited Goods

You agree to comply with all applicable laws in the country of origin and destination. You will not use or attempt to use NYBox to receive or send illegal, hazardous, or dangerous materials, prohibited goods, or controlled substances.

Goods are unacceptable for shipment if:

  • They are in NYBox’s Prohibited Items list; or
  • Classified as hazardous materials/dangerous goods or restricted/prohibited by IATA/ICAO, export control laws, import/customs regulations, or other relevant rules; or
  • We decide the item cannot be transported safely or legally (including animals, currency, bearer-form negotiable instruments, precious metals/stones, firearms/parts/ammunition, pornography, illegal narcotics/drugs).

Export and Import Compliance

You acknowledge and agree that:

  • You will comply with all applicable export and import laws and regulations.
  • NYBox will comply with applicable export/import laws and will refuse to ship packages known or suspected to violate laws, and will refuse to ship any item requiring an export or import license.

You will not use or attempt to use NYBox to receive or send:

  • Military items (specially designed, modified, adapted, or configured for military application);
  • Dual-use items subject to export license requirements; or
  • Products intended for chemical/biological weapons, missile technology, or nuclear proliferation.

For items exported from the U.S., you expressly agree not to divert, reship, or forward any part of a shipment:

  • To any country designated by OFAC as supporting international terrorism (currently Cuba, Iran, North Korea, Sudan, Ukraine “Crimea Region”, and Syria), or
  • To any person/entity on OFAC SDN list, BIS Denied Persons/Entity/Unverified lists, or State Department Debarred Parties/Proliferators lists.

You will be liable and agree to indemnify NYBox for costs, penalties, fines, and legal costs if a shipment violates these conditions. NYBox may terminate your account and services for violations.

 

Shipping Liability, Insurance, Loss/Damage, and Claims

Limited Liability for Lost or Damaged International Shipments

Carrier liability limits apply based on the carrier’s terms and international conventions. All other types of loss or damage may be excluded by the carrier’s terms (including lost profits, income, interest, or future business).

Shipping Insurance

Carrier liability may be limited (often up to US$100 per package depending on the carrier and service). If you want additional coverage for shipments with value greater than carrier liability, you may purchase additional insurance. Based on insured value, each $100 of insured value costs $2.99.

Damage to used or second-hand goods is not covered (insurance may cover loss of those goods in transit).

What is Not Covered

Insurance covers loss or damage during international shipment. It does not cover:

  • Indirect loss or damage
  • Loss or damage caused by delays
  • Loss or damage to packages sent by the seller to our export facility
  • Damage to used or second-hand goods
  • Refunds, returns, claims (as applicable)

Lost or Damaged International Shipments

In case of loss or damage to all or part of a shipment, NYBox will refund shipping charges for the affected package (and the price of goods if covered by insurance) using the same payment method where possible, or issue account credit for a future shipment.

Claims

Claims for loss or damage must be made to NYBox within 14 days from delivery. Claims must be in writing and include copies of consignment note/air waybill, supporting documents, photos of damage, and relevant invoices/receipts. See our FAQ.

 

Product Returns or Exchanges

If you wish to return an item after delivery, you must arrange directly with the merchant for return/refund/exchange per the merchant’s policies. Merchants may require return authorization. Upon request, NYBox can help arrange return shipping to the merchant from your home country at your cost.

 

General

Modification of NYBox Services

We may modify or terminate services at any time upon reasonable notice, temporarily or permanently, without liability except for completing processing of products ordered prior to termination.

Termination

You may terminate this agreement and your NYBox account at any time. NYBox may suspend or terminate your account if you fail to comply with these Terms, without liability in connection with such suspension/termination.

Circumstances Beyond Our Control

NYBox is not liable for loss or damage arising out of circumstances beyond our control, including natural disasters, aircraft incidents, embargo, war, civil commotion, industrial action, epidemics/pandemics, power/communications disruptions, governmental action/inaction, shipment characteristics, or damage/erasure of electronic/photographic data due to interference.

Indemnification

You agree to indemnify, defend, and hold NYBox and its shareholders, officers, directors, affiliates, employees, and agents harmless from all claims, losses, damages, liabilities, and costs (including reasonable attorney’s fees) resulting from your use of NYBox services, including negligence, misrepresentations, mis-declarations of contents/value, and/or failure to comply with these Terms.

Entire Agreement

These Terms (as modified from time to time) constitute the entire agreement regarding use of the NYBox website, your account, and NYBox services. Any other written or oral statements are superseded and of no effect.

Partial Invalidity

If any provision is judged illegal, invalid, or unenforceable, that provision is deemed deleted without affecting any other provision.

Waiver

Failure by you or NYBox to enforce any provision or exercise any right does not constitute a waiver.

Governing Law / Jurisdiction

This Agreement and all disputes are governed by applicable laws and regulations of the United States and its agencies, without applying conflict-of-law principles that would apply laws other than those of New Jersey.

The parties consent and submit to the exclusive jurisdiction and venue of the United States courts and waive claims that such jurisdiction or venue is improper or inconvenient. The parties waive jury trial rights. In actions to enforce or interpret this Agreement, the prevailing party may recover costs and expenses, including attorneys, experts, and consultants. A judgment may be enforced in any jurisdiction.
